These Terms of Use bind individual users. Your brokerage's subscription to CDAFlow is governed by a separate Platform Subscription Agreement. These Terms govern your personal use of the platform as an individual — agent, administrator, or broker — regardless of your role.

Acceptance of terms

By accessing or using the CDAFlow platform (“Platform”), you agree to be bound by these Terms of Use (“Terms”). Your acceptance occurs at the moment you log in to the Platform, whether via the clickwrap acknowledgment presented at login or through continued use of the Platform.

If you do not agree to these Terms, you must not access or use the Platform. If you are accessing the Platform on behalf of your brokerage, you represent that you have the authority to bind yourself individually to these Terms.

These Terms apply in addition to — and do not supersede — any Platform Subscription Agreement between CDAFlow and your brokerage employer. In the event of a conflict between these Terms and the Platform Subscription Agreement on matters of individual user conduct, these Terms govern.

Who may use the Platform

The Platform is designed for licensed real estate professionals. To use the Platform you must:

  • Be at least 18 years of age
  • Be authorized by a brokerage that holds a current Platform Subscription Agreement with CDAFlow
  • Have a valid account created by your brokerage administrator or CDAFlow
  • Use the Platform solely for lawful, professional purposes within your brokerage relationship

CDAFlow reserves the right to verify eligibility and to refuse or terminate access at its sole discretion.

Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

  • Keep your password secure and not share it with any other person
  • Notify your brokerage administrator immediately if you suspect unauthorized access to your account
  • Log out of your account at the end of each session, especially on shared devices
  • Keep your account information — including email address and license details — accurate and current

CDAFlow is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

Acceptable use

You may use the Platform only for lawful purposes directly related to your role within your brokerage. Permitted uses include:

  • Managing your agent profile and license information
  • Accessing and managing transaction records assigned to your account
  • Reviewing commission statements and disbursement records
  • Uploading and managing documents related to real estate transactions
  • Communicating with your brokerage through Platform-provided tools
  • Generating reports within the scope of your assigned role permissions

Use of the Platform beyond the scope of your assigned role permissions is not permitted. Role-based access controls are established by your brokerage administrator.

Prohibited conduct

You must not, under any circumstances:

Data and access

  • Access, view, or attempt to access data belonging to another brokerage or user outside your assigned permissions
  • Attempt to circumvent, disable, or interfere with any security controls, authentication mechanisms, or access restrictions
  • Use automated tools, scripts, or bots to access or scrape the Platform without express written authorization
  • Export, copy, or transmit Platform data for any purpose outside your legitimate brokerage duties

Platform integrity

  • Upload or transmit any malicious code, viruses, or content designed to harm the Platform or its users
  • Attempt to reverse engineer, decompile, or derive the source code of the Platform
  • Use the Platform to probe, scan, or test the vulnerability of any system or network
  • Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure

Legal and professional

  • Use the Platform to facilitate fraud, money laundering, or any violation of real estate licensing law
  • Enter false, inaccurate, or misleading information into the Platform
  • Use another user's credentials or impersonate any person or entity
  • Use the Platform in any way that violates applicable federal, state, or local law

Violation of these prohibitions may result in immediate account suspension, termination, and referral to your brokerage or applicable regulatory authorities.

Data and content

All data you enter into the Platform — including transaction records, commission data, and documents — remains the property of your brokerage, as the data controller. CDAFlow processes this data solely as a data processor on your brokerage's behalf.

You represent and warrant that any data or content you enter into the Platform:

  • Is accurate and not materially misleading
  • Does not infringe the intellectual property rights of any third party
  • Does not contain personal data of third parties beyond what is necessary for legitimate transaction processing
  • Complies with all applicable laws, including those governing real estate transactions and personal data

You acknowledge that CDAFlow is not responsible for the accuracy, completeness, or legality of content entered by you or your brokerage. Data rights, access, and deletion requests should be directed to your brokerage as the data controller. For more information, see our Privacy Policy.

Intellectual property

The CDAFlow platform — including its design, code, features, workflows, branding, and documentation — is the exclusive intellectual property of CDAFlow. Nothing in these Terms grants you any ownership interest in the Platform.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purposes described in these Terms, during the period your brokerage maintains an active subscription. This license terminates automatically upon termination of your brokerage's subscription or your account.

You must not represent or imply that you own, operate, or are affiliated with CDAFlow or the CDAFlow platform beyond your role as an authorized user.

Disclaimer of warranties

The Platform is provided “as is” and “as available.” To the maximum extent permitted by applicable law, CDAFlow disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CDAFlow does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities. You use the Platform at your own risk. CDAFlow is not responsible for any errors in data entered by users, or for decisions made in reliance on Platform-generated reports or calculations.

Limitation of liability

To the maximum extent permitted by applicable law, CDAFlow and its affiliates, officers, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including loss of data, loss of commissions, or business interruption.

CDAFlow's total aggregate liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount paid by your brokerage for the Platform in the three months preceding the event giving rise to the claim.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, CDAFlow's liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless CDAFlow and its affiliates, officers, employees, and service providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your use of the Platform in a manner not authorized by these Terms
  • Any data or content you enter into the Platform that infringes the rights of a third party or violates applicable law
  • Your violation of any applicable law or regulation in connection with your use of the Platform

Suspension and termination

CDAFlow reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, if:

  • You violate any provision of these Terms
  • Your brokerage's subscription is terminated or suspended
  • CDAFlow reasonably believes your account has been compromised or is being used fraudulently
  • Continued access poses a security or legal risk to CDAFlow or other users

Upon termination, your right to access the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and indemnification — will survive.

Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.

Before initiating any formal dispute, you agree to contact CDAFlow at the address below and make a good-faith effort to resolve the issue informally within 30 days.

Changes to these terms

CDAFlow may update these Terms from time to time. If we make material changes, we will notify active users by email and by a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform following the effective date of revised Terms constitutes your acceptance of those changes.

It is your responsibility to review these Terms periodically. The “Last updated” date at the top of this page reflects the most recent revision.
